Terms of Use for citizens

 

The present terms of use of "THE GREEN CITY" (hereinafter, in short, the "Terms of Use") are published on the Website www.thegreencity.gr (hereinafter, for short, the "Website") and describe the cooperation between the user of the Service (hereinafter, for short, "You" or the "User") and the company named Southstar SA, located at 23 Kallirrois Street, Athens (hereinafter, for short, "Southstar").

 

1. CONTACT

1.1. Southstar has been awarded, in the framework of a public international tender, announced by the Single Intergraded Association of the Prefecture of Attica (EDSNA), under A.P. 7899/9-7/2020, the contractor for the execution of a contract for the provision of services for the development and management of a recycling program. In order to execute the said contract, Southstar operates the software application "THE GREEN CITY" (hereinafter, for short, the "Application") through which Users can, if they wish, recycle recyclable materials by going to specific collection points, among those shown in the Application, and collect reward points, which can be redeemed at businesses cooperating with the program (hereinafter, for short, the "Service"). The Application can be used either through the Website www.thegreencity.gr or through the "THE GREEN CITY" application for mobile devices (smartphone app).
1.2 The Terms of Use are addressed exclusively to you, the Users. Businesses that partner with Southstar to provide the Service register on Southstar's online platform and through this platform they can manage their offers and identify Users as described below (hereinafter the "Partner Businesses").
1.3 If you decide to use the Application and the Service, you declare that you fully and unconditionally accept these terms and conditions, as well as the terms and conditions on the protection of personal data, as applicable. Southstar may at any time and without notice modify the Terms of Use, which, however, will always be posted, in their current version, on the Website or, respectively, on the App.
1.4 Any natural person may register as a User. In order to use the Application and the Service, you must be at least 18 years of age and have full legal capacity. Southstar is not responsible for the use of the Application by Users who do not have the above mentioned qualities.

2. THE APPLICATION

2.1 The Application is an online platform through which the User can easily become a member of THE GREEN CITY project and recycle materials at the mobile recycling points only from specific categories that are posted on it.
2.2 Recycling is done by the User going to specific collection points as shown in the Application. Southstar has mobile vehicles with special recycling bins, which are parked at specific points in Attica at any given time. The User is informed with relevant notifications of the points closest to the address he/she has declared during his/her registration in the Application.
2.3 At the collection point, the Southstar manager undertakes to check the recyclable materials and, if they are suitable for collection, to weigh them, register or identify the member and place them in the special recycling bins.
2.4 The User, depending on the type of materials and their weight, collects points which can be redeemed at the Partner Businesses by selecting from the offers displayed in the Application per Partner Business.
2.5 Points can be redeemed either online or by going to the physical store of the Partner Business, depending on the terms of each offer.
2.6 Any codes acquired cannot be returned.

3. THE SERVICE

3.1. Registration and account creation

3.1.1.1 In order to access the Application and use the Service, you must register as a User by creating an account (hereinafter the "Account"). Registration can be done either online on the Application or on the website www.thegreencity.gr or by completing an application which can be obtained from a Southstar employee by coming to the parked recycling vehicle (hereinafter the Registration Application).
3.1.2 Upon registration to the Application you will receive your individual card bearing a QR-Code or in case of online registration you will access it by entering the username & password that you have set yourself during registration. In this case too, the App will assign you a unique code (QR Code) which will be scanned when used in a recycling vehicle (hereinafter referred to as the "Card" and the "Code").
3.1.3 As a User, you are solely responsible for any action performed through your Account. In the event of loss of the Code or unauthorized use of the Code by a third party, you must immediately notify Southstar by email at info@thegreencity.gr. Until Southstar is informed, Southstar shall legally consider any movement or transaction carried out from your Account as being carried out by you yourself and therefore shall not be liable. Following any notification by you, Southstar will take the necessary steps to ensure the proper use of the Account including cancellation of the Account.
3.1.4 As a User, you are not entitled to have more than one Account on the Application. Southstar reserves the right to suspend or deactivate a User's Account and access to the Application if you create more than one Account.
3.1.5 By creating an Account and registering for the Application, you represent and warrant that all information and data you provide is true, accurate and true. In the event of inaccurate or false information, Southstar shall have no liability.


3.2. Recycling procedure

3.2.1 If you wish to recycle materials, you must sort them into categories according to the list of recyclable materials posted on the Application and place them in bags for transport. The specific materials that can be recycled per recyclable material category are also published in the Application in the corresponding field.
3.2.2 You must deliver the materials separated into categories, clean and not mixed with non-recyclable materials.
3.2.3 The Application notifies you of the collection points that are closest to the address that you have indicated yourself when you register. The notification will be made either by sending a message (SMS or Viber) to your mobile phone or to your email address depending on what you have indicated yourself as a means of communication when creating your Account. You may be directly informed about the collection points of recyclable materials, as well as the routes of the recycling vehicles through the corresponding field of the Application.
3.2.4 When Southstar's employee collects Recyclable Materials, only those materials will be accepted that, upon delivery by you, comply with the specifications in paragraphs 3.2.1. and 3.2.2. Otherwise, Southstar's employee will reject the materials as unsuitable. This judgment is solely the Southstar employee's, and you may not challenge it.
3.2.5 Once the recycling materials are approved by the Southstar employee, they will be placed in the recycling bin and weighed on a special scale. The employee will scan your Card or Code from your mobile phone and points corresponding to the type and weight of materials recycled will automatically be credited to your Account. You will then receive a notification on your mobile phone or email so that you will be able to confirm the renewed points in your Account.


3.3 The points redemption process

3.3.1 In order to redeem your points with a Partner Business you must compare the number of points as shown in the Application with the available offers at any given time.
3.3.2. In both cases, your identification as a User will be done via phone, email or QR code, if the Merchant has a QR code reader.
3.3.3 Alternatively, your identification will be done with electronic discount coupons (promocodes), which you will receive through the Application. Specifically, each Partner Business will have the ability to create promocodes, store them in the Application and send them to you directly if you have selected the specific Business. You will then be able to go to the Merchant's store and either deliver the promocode to the authorised employee or enter it into the Merchant's online store, if the latter has one (depending on the terms of each offer). Each promocode is unique and corresponds to a specific offer.
3.3.4 After identifying yourself as a User in one of the above ways, you automatically receive a code, which you declare to the Affiliate in order to verify the validity of the redemption of the points. Once the points are redeemed and the offer is delivered by the Affiliate to the User, the process is completed and the points are automatically adjusted to the current status. Cancellation of the point redemption process cannot be performed after this point.
3.3.5. The process of identification of the User and redemption of his/her points is the sole responsibility of the Affiliate. In case of an error in the procedure of paragraph 3.3., Southstar shall not be liable, and the Affiliate Business shall be solely responsible to the User.
3.3.6 The Affiliate Businesses' commissions, as displayed each time on the Application, are specific and are not exchangeable for money or other products or services from the Affiliate Businesses.
3.3.7 Both the Card and the Code of each User and the promocodes received by the User through the Application are personal and are not transferred to third parties. The User can only redeem his/her points in the Partner Businesses by himself/herself, through the identification process described above.
3.3.8 The duration of each offer, as well as the availability in stock is available in the Application. The Partner Business is entitled to modify its offers after giving Southstar at least two (2) months' notice.
3.3.9. The User will have the possibility, if he/she wishes, to transfer points from his/her Account to third parties for social purposes (including, but not limited to, NGOs, foundations and others)
3.3.10. Southstar shall be entitled at any time, if it finds a violation of the Terms of Use by the User, to cancel the User's Account without prior notice.

4. GUARANTEES - LIMITATION OF LIABILITY

4.1 It is expressly stipulated that the Application and the Service are provided by Southstar to the User "AS IS". Southstar makes no warranty, written, oral or otherwise, to the User or to any third party that the foregoing will be fit for their purposes or needs, nor that the operation thereof will be uninterrupted or error-free, nor that the same will be free from bugs or other problems of a technical nature.
4.2 Southstar accepts no liability for any direct or indirect, positive or consequential loss or damage suffered by the User or any third party as a result of the use of the Application and the Service or in connection with the use or operation thereof, except in the case of Southstar's fraudulent intent or gross negligence. In particular, Southstar does not assume any liability, except in cases of fraud or gross negligence, for any damages to the User or any third party due to loss of data, use or non-use of the above, damage to all or part of the computer or other hardware, errors in the above software or its interaction with other software.
4.3 Although Southstar will use its best efforts to ensure the efficiently and uninterrupted operation of the Application and the User's access to it and the Service, Southstar shall not be liable if, for any reason, including any negligence on its part, the Application is temporarily out of operation due to technical or other problems beyond its control. In any case, Southstar will use its best efforts to restore the Application to operation immediately.
4.4 Southstar shall be entitled to suspend the operation of the Application from time to time in order to carry out technical checks and maintenance without prior notice to the Users.
4.5 Southstar shall in no event be liable for any problems that may arise during the process of redeeming Users' points and rendering Offers by the Affiliates, unless such problems are due to a malfunction of the Application and always in accordance with the limitation of liability described in this clause 4. In the event of any claim, the User must address each claim to the relevant Affiliate.
4.6 Southstar does not guarantee to the User that the Service will be available for a specific period of time. Southstar may at any time suspend the Service, in which case, Southstar shall not owe any compensation to the User for this reason.

5. INTELLECTUAL PROPERTY RIGHTS

5.1 Southstar is the legal owner of all intellectual property rights in the Application and its content, software, Service, domain names and trademarks. No transfer of the aforementioned rights from Southstar to the User shall be effected under these Terms. Southstar grants the User a non-exclusive, non-transferable, limited term license to use its software in order to access the Application and use the Service. The User is expressly prohibited from selling, transferring, copying, further licensing, decompiling the software and source code, or exploiting the software, the Application and the Service in any manner other than as described in this Agreement.
5.2 Access to the Application is permitted to the User for personal use and only in accordance with these Terms. The permission to access does not allow the User to modify the content of the Application in part or in whole. Given the personal nature of the permission granted to the User, the latter may not resell, copy, reproduce, publish, use for commercial purposes or generally exploit in any way the Application and the content posted on it (including but not limited to texts, videos, photos, etc.). Otherwise, the User shall indemnify Southstar for any damage it may suffer from the above cause.

6. PERSONAL DATA

Southstar processes your personal data as part of the operation of the App and the provision of the Service. Southstar is bound by and applies current  EU and national legislation on the protection of personal data. Terms of Use for partner companies

 

1. CONTACT

1.1. Company Southstar SA, located in Athens, 23 Kallirrois Street, with VAT number: 800592200, (hereinafter referred to as "Southstar" for short) was declared, in the framework of a public international tender announced by the Unified Intergraded Association of the Prefecture of Attica (EDSNA), under A.P. 7899/9-7/2020, the contractor for the execution of a contract for the provision of services for the development and management of a recycling program. In order to execute the said contract, Southstar operates the "THE GREEN CITY" application (hereinafter, for short, the "Application") through which its registered users (hereinafter, for short, the "Users") can, if they wish, register as members in order to recycle recyclable materials by going to specific collection points among those displayed in the Application and collect reward points which they can redeem at businesses that cooperate with the Application (hereinafter, for short, the "Service"). The use of the Application is made either through the website www.thegreencity.gr, (hereinafter, for short, the "Website") or through the "THE GREEN CITY" application for mobile devices (smartphone app).
1.2 In order to provide the Service to the Users, Southstar cooperates with companies that are active in the fields of sale of products and provision of services and that wish to provide their services or make their products available to the Users with a discount, offer or for free, through the redemption of loyalty points (hereinafter, for short, the "Offer"). If you are a company and wish to cooperate with Southstar in this context, you will need to register on the online platform of the Service (hereinafter, the "Platform"). Southstar may at any time and without notice modify the Terms of Use, which, however, will always be published, in their current version, on the Website or, respectively, on the Application.
1.3 Any legal entity legally operating within the Greek territory and legally entitled to participate in the Service may be registered as a Partner Business. Southstar is not responsible for the registration in the Platform of businesses that do not meet the above requirements.
1.4. Participation in the Service by Partner Companies is of a social nature and is done in the context of their desire to extend their corporate and social responsibility program to issues related to climate change mitigation. As such, the Participating Companies' participation in the Service is without financial or other consideration to Southstar. Southstar and the Affiliate Business, if the latter accepts these Terms, are cooperating solely in the context of the Service and for the purpose of its proper performance and therefore no other relationship is created between them, including but not limited to, a partnership, agency or other relationship other than that described in these Terms.

2. THE APPLICATION

3. REGISTRATION ON THE PLATFORM

3.1 Southstar shall provide the Affiliates with access to the Platform, through which each of them may (a) process its Offers, and (b) carry out the identification process of each User wishing to make use of such Offers and redeem their points.
3.2 If you wish to register on the Platform as an Affiliate, you must complete, as an application, the form displayed on the Application and, upon submission, Southstar will contact you. Acceptance of your application is at Southstar's sole discretion. Completion of the Platform registration can be done either electronically or by completing the cooperation application form that you will receive from Southstar and sending the completed and signed form back to the latter. Upon completion of the registration, you obtain a Partner Business account to which you have exclusive access (hereinafter the "Account").
3.3 Your Account is accessed with a user name and password that you will have set during registration. Southstar shall not be liable for the loss of the above passwords or the use of the Account by your unauthorized personnel and/or third parties. In the event that you become aware of any unlawful use of your Account, you must immediately notify Southstar by email at sales@thegreencity.gr Until such time as Southstar is notified, Southstar will legally consider any activity from your Account as having been conducted by you and therefore will not be liable. Upon notification Southstar will take the necessary steps to ensure the proper use of the Account including cancellation of the Account.
3.4 Access to the Platform will be for specific "read only" use. You will therefore be able to extract data for the provision of the Service which is not personal data but statistical data. The data may be used by you in the context of your corporate social responsibility programme or your commercial/advertising activity. Southstar will be entitled to prohibit any use of such data that is not in accordance with these Terms and the purposes of the Service.

4. THE SERVICE

4.1. The Offers

4.1.1.1 Upon completion of your registration on the Platform you will be able to register your Offers, set the duration of each Offer and its specifications, check the stocks of such Offers, their redemption conditions and process them in accordance with the conditions of these Terms and Southstar's instructions. You must also enter the necessary information about your Business and select the visuals (banners, logo, etc.) proposed by the Application.
4.1.2 The Offers must be real, correspond to the description and specifications, be legal and not misleading. They must also be available to the User at any time should he/she decide to redeem his/her points in accordance with what is always specified in the corresponding field of the Application under each Offer.
4.1.3 If you wish to modify an Offer already posted on the Application and withdraw a product/service, you must notify Southstar in writing to sales@thegreencity.gr at least one (1) month in advance.
4.1.4 Southstar shall be entitled to review the verbal and visual aspects of the Offers and recommend modifications or changes to them if it considers that the above requirements are not met. Upon receipt of notice from Southstar, you must immediately make changes or withdraw the Offer and replace it with another.


4.2. Points redemption and bidding

4.2.1 Users who wish to redeem the points they have collected at a specific Affiliate and for a specific Offer may do so either through the Application or by going to your physical store (depending on the terms of each Offer).
4.2.2 Alternatively, the identification of the User will be done through electronic discount coupons (promocodes), which Users will receive through the Application. As a Partner Merchant, you will be able to create promocodes, which will be stored in the Application and sent to the User, who will be able to go to your Merchant's store and give the promocode to your authorized employee or enter it directly into the Merchant's online store, if you have one. Each promocode is unique and corresponds to a specific offer.
4.2.3 Your Merchant, when identifying the User, undertakes not to collect any personal data. The Service does not require the disclosure and transmission of Users' personal data to you in order to identify them and redeem their points. In case the User for any reason provides you with an email, telephone number, full name or other personal data, you are expressly forbidden to keep a record of them, and otherwise you must immediately delete them.
4.2.4 If the User chooses your Business to redeem his/her points, you will be able, through the Platform, to identify him/her, check his/her redemption history and the total number of points he/she has in his/her Account.
4.2.5 After identifying the User in one of the above ways, the User will automatically receive a code, which he/she will declare to you in order to verify the correctness of the redemption of the points. Upon redemption of the points and the delivery of the selected Offer to the User, the process is completed and the User's points are automatically adjusted to the current status. Cancellation of the redemption process cannot be performed after this point.
4.2.6 The process of identifying the User and redeeming his/her points is your sole responsibility as the Affiliate. For the purpose of providing an excellent service to Users, you must inform your staff about the Service, the use of the Platform and the process of redemption of points, in order to provide the Service in an excellent and optimal way. In the event that any claims are brought by a User against Southstar, the latter will not be liable and you will have to fully compensate it for any damage it may suffer as a result of the aforementioned cause.
4.2.7 Offers are personal and specific. Under no circumstances may you attribute them to a User other than the User identified through the Platform, nor exchange them for any other products or services that you offer.
4.2.8 Throughout your participation in the Service, you must refrain from any action that may damage its or Southstar's reputation. If you fail to do so, Southstar will be entitled to terminate its relationship with you immediately and claim compensation for any loss it may suffer as a result.

5. GUARANTEES - LIMITATION OF LIABILITY

5.1 It is expressly stipulated that the Application, the Platform and the Service are provided by Southstar to the Affiliates "AS IS". Southstar makes no warranty, written, oral or otherwise, to the Affiliate Business or to any third party that the foregoing will be fit for their purposes or needs, nor that the operation thereof will be without problems or interruptions, nor that the same will be free from errors or other problems of a technical nature.
5.2 Southstar accepts no liability for any direct or indirect, positive or consequential loss suffered by the Affiliate, its employees or any third party as a result of or in connection with the use of the Application, the Platform and the Service or in connection with the use or operation thereof, unless Southstar is guilty of fraud or gross negligence. In particular, Southstar shall not assume any liability, except in cases of fraud or gross negligence, to compensate any damage to the Affiliate or any third party due to loss of data, use or non-use of the aforementioned, damage to all or part of computers or other hardware, errors in the aforementioned software or its interaction with other software.
5.3 Although Southstar will use its best efforts to ensure the effective and uninterrupted operation of the Application and the Platform, Southstar shall not be liable if, for any reason, including any negligence on its part, the Application and the Platform are temporarily disabled due to technical or other problems beyond its control. In any case, Southstar will use its best efforts to restore the App and its Platform to operation immediately.
5.4 Southstar may from time to time suspend, without notice, the operation of the Application and the Platform in order to carry out technical checks and maintenance of the same.
5.5 Southstar shall in no event be liable for any problems that may arise during the process of redeeming Users' points and rendering Offers by the Affiliates, unless they are due to a malfunction of the Application and always in accordance with the limitation of liability described in this clause 5. If any claim is made by a User against Southstar for the above reason, the Affiliate shall indemnify Southstar for any loss it may suffer as a result of the above.
5.6 Southstar does not guarantee to the Affiliate that its Offers will be exhausted nor that the Service will continue to be provided for a specified period of time. Southstar may at any time suspend the operation of the Service and the Application and in such case, Southstar shall not owe any compensation to the Affiliate due to this reason.

6. INTELLECTUAL PROPERTY RIGHTS

6.1 Southstar is the legal owner of all intellectual property rights in the Application and its content, software, Service, Platform, domain names and trademarks. No transfer of the above rights from Southstar to the Affiliate is made under these Terms. Southstar grants to the Affiliate a non-exclusive, non-transferable, limited term license to use its software in order to access the Application and Platform and use the Service. The Affiliate is expressly prohibited from selling, transferring, copying, further licensing, decompiling the software and source code or exploiting the software, the Application, the Platform and the Service in any other way than as described in this Agreement.
6.2 Access to the Application and Platform is granted to the Affiliate solely for the use described in these Terms and only in accordance with these Terms. The permission to access does not allow the Affiliate to modify the content of the Application and Platform in whole or in part. Given the limited nature of the license granted to the Affiliate, the latter may not resell, copy, reproduce, publish, use for commercial purposes or generally exploit in any way the Application and the content posted on it (including but not limited to texts, videos, photos, etc.). Otherwise, the Affiliate will indemnify Southstar for any damage that the latter may suffer as a result of the above.
6.3 By these terms, the Affiliate grants Southstar the permission to use its trademarks, its name, its distinctive title and/or any other information required (e.g. logos), of the above mentioned items mentioned by way of example and not limitation, in the context of promotion and operation of the Programme and the Affiliate's participation in it.
6.4 The Affiliate is permitted to use Southstar's and the Service's marks and logos with the written consent of Southstar and the Service in order to promote the Service through its network.
6.5 All information obtained by the Partner Business in the course of performing the Service is confidential and proprietary to Southstar. Therefore, the Partner Business is permitted to use it solely for the performance of the cooperation described in the Terms of Use and not to disclose it to third parties without Southstar's prior written consent.

7. PERSONAL DATA

Southstar may process Users' personal data in the context of the operation of the Application and the provision of the Service. Southstar is bound by and applies current EU and national legislation on personal data protection. Throughout the Service, Southstar will not transfer personal data to the Partner Companies. For the purposes hereof, Southstar shall act as the data processor of personal data in the context of the provision of the Service (the Data Controller).

8. GENERAL TERMS

8.1 These Terms constitute the complete and exclusive agreement between Southstar and the Affiliates regarding access to the Application and use of the Service and therefore supersede any and all prior oral or written understandings or agreements between them.
8.2 Any failure by the Parties to exercise or timely exercise their rights under these Terms, whether once or repeatedly, shall in no way constitute a waiver thereof.
8.3 In the event of invalidity of a term or terms, the validity and effect of the entire contract shall not be affected.
8.4 These terms are governed by Greek law. Any dispute that may arise from or in relation to them shall be resolved by the Courts of Athens.
